| Abstract | 发端于美国的独立董事制度在“一元制”公司治理结构中扮演者监督者的角色。而在实行“二元制”公司治理结构的我国，也引入了我国。按照法律移植的观点，此中必有一个强大的动机需求推动。关于这个动机，学者们众说纷纭，比如监督大股东、保护小股东、社会化等。但是，笔者认为，我国资本市场的生成、发展才是独立董事制度在我国得以采用的根本原因。
本文是循以下顺序展开的：
第一章是独立董事制度的概述，主要介绍了独立董事在欧美国家和我国的历史，其中的重点是独立董事制度与资本市场的关系；
第二章回顾了目前学界独立董事的研究，主要是法学和经济学或者管理学（会计学）的角度。并在基础上，作者针对目前通行的一些观点，提出了质疑，为后文的论述奠定基础；
第三章简要介绍了资本、资本市场，同时对资本与公司治理模式的变迁进行分析。分析得出的结论是：独立董事制度是资本市场发展的产物。
第四章围绕上文的论述，对独立董事制度的完善和发展提出了作者自己的一些见解。 |
| Other Abstract | Started by the United States of the Independent Director System in corporate governance structure of “A binary system” plays the role of the supervisor.And in the “bicameral system”of corporate governance structure in our country also introduced it. According to the views of legal transplantation, there will be a strong motivation in this demand. The opinions are vary about the motives, such as supervising big shareholder, protecting minority shareholders,socializing and so on. However, the author thinks that, the generation and development of capital market in China is the root cause of the Independent Director System been considered in our country .
This paper is following the order of:
The first chapter is an overview of the Independent Director System, mainly introduced the Independent Director in the history of European,American and China, which is the focus on the relations of the Independent Director System between capital market;
The second chapter reviews current research of the Independent Director System, mainly divides into two directions，the main is the legal and economic or management (Accounting) angle. And on the basis, the author questioning the present some general point of view, laying a foundation for the later discussion.
The third chapter briefly introduces the capital, capital market.At the same time, capital and the changes of company governance mode is analyzed.The conclusion of analysis is that the Independent Director System is a product of capital market development.
The Chapter fourth around the above argument, the author put forward some own opinion for the Independent Director System to improve and develop . |
