Abstract

随着我国市场经济的不断发展,金融消费在普通民众的生活中正发挥着越来越重要的作用。以往提到金融消费,大家通常将其与投资理财行为联系起来,并不会预见到如今我们的日常生活已经离不开金融机构带来的便利,例如使用信用卡消费、偿还贷款等。而互联网经济的加入,更加使“金融”这听起来高大上的概念飞入寻常百姓家,众筹的兴起就是很好的证明。所谓众筹,就是筹资人通过向社会上不特定的大多数消费者发出项目要约,消费者通过为发起人提供一定资金的方式参与众筹项目、获得回报。学术界根据众筹参与者最终获得的回报的不同将众筹分为四类:股权众筹、债权众筹、捐赠众筹和预售众筹。预售众筹也叫产品众筹,此类众筹项目的产品多为与我们生活息息相关的科技创新产品或者文体娱乐领域的产品。许多时候项目发起人具有一个创新想法,又有一定的能力对其想法进行实际操作,但无奈受困于资金有限并且无法预估市场对其项目的反应。预售众筹恰好为其提供了一种巧妙的商业模式,发起人既可以获得创业启动资金,又能对其项目产品预先进行宣传,与消费者进行沟通,降低风险。
预售众筹在我国出现之日起就备受关注,我国最早的众筹网站——点名时间一经上线就吸引了大批的消费者,特别是2013年国内首部众筹电影《十万个冷笑话》的成功上映更是把预售众筹推向了发展的高潮期,获得了众多消费者的认可和参与。
但预售众筹在高速发展的同时由于法律法规的相对滞后,监管体系并未建立等原因,发生了不少消费者权益遭受侵害的事件。预售众筹不同于传统的金融业务,对项目进行支持的消费者最终获得的回报并非货币而是各种各样的实物产品,更有的众筹项目对于消费者的承诺是为其提供专业的服务,比如邀请参加演唱会、提供与项目发起人合影留念的机会等。这就说明预售众筹更加贴近生活,应当属于一种生活消费,如果采用规范传统金融活动的法律监管体系对预售众筹进行监管就会产生一系列适用问题。虽然预售众筹中金融消费者参与的每笔交易所涉及金额较小,但所产生的纠纷却具有很强的频发性,所波及的范围也非常广泛,如果不针对预售众筹的消费者进行倾斜保护,就会造成非常严重社会影响,甚至阻碍整个众筹行业发展。
相对于国内,美国、日本等国家众筹行业发展的时间较早,相对建立起了比较完善的监管体系,并且对预售众筹的金融消费者的权益保护在其法律法规也有所体现。借鉴国外的先进经验,加快对于预售众筹乃至整个众筹行业的立法活动,形成适应我国市场经济特色的法律体系和消费者保护体系,对于我国众筹行业的发展、经济增长的多样性都有所帮助。将关于预售众筹金融消费者权益的保护写进法律,对预售众筹项目进行严格的立项审核、实时的进展监督、高效的解决纠纷的同时,还不能忽视对于项目发起人知识产权、商业秘密、个人隐私的保护。完善《知识产权法》的特殊保护制度,加强对于预售众筹消费者的风险教育,并且设置合理的消费者退出机制,加上争议解决过程中小额诉讼与公益诉讼的应用,多管齐下,对于预售众筹的监管就会事半功倍,对消费者的保护也更加全面。

Other Abstract

With the continuous development of China's market economy, financial consumption is playing an increasingly important role in the lives of ordinary people. We usually associate it with investment and financial management behavior in the past, when mentioned financial spending. We do not think that our daily lives are inseparable from the convenience brought by financial institutions, such as the consumption of credit cards and the repayment of loans. The joining of the Internet economy has made the concept of “finance”, which sounds like a tall, fly into the homes of ordinary people. The rise of crowdfunding is a good testimony. The so-called crowdfunding is that the project sponsor sends a project offer to most unspecified consumers in the society. The consumer provides a certain amount of funds to the sponsor to participate in a crowdfunding project and obtain a return. Chinese academia divides crowdfunding into four categories based on the ultimate reward for crowdfunding participants: equity crowdfunding, creditor crowdfunding, donated crowdfunding, and pre-sale crowdfunding.
Pre-sale crowdfunding is also called product crowdfunding. As the name suggests, the products of such crowdfunding projects are mostly related to science and technology innovation products or sports and entertainment products. Many times project sponsors have an innovative idea and have the ability to actually operate their ideas, but they can't help but be trapped in limited funds and can't predict the market's response to their projects. Pre-sale crowdfunding just provides an ingenious business model, where the project sponsors can obtain startup funding, promote their project products and communicate with consumers to reduce risks.
Pre-sale crowdfunding has attracted much attention since its emergence in China. The earliest crowd-funding website in China, the on-line calling time, attracted a large number of consumers on the line, especially the domestic first public funded movie “One Hundred Trick-Jokes in 2013”. The successful release of the magazine has pushed pre-sale crowdfunding to the peak of development and gained recognition and participation from numerous consumers.
However, due to the relative lag of laws and regulations and the non-establishment of the supervision system during the rapid development of pre-sale crowdfunding, many consumer rights violations have occurred. Pre-sale crowdfunding differs from traditional financial services in that consumers who support projects are ultimately rewarded not for currency but for a variety of physical products. More crowdfunding projects provide consumers with a commitment to provide professionalism. Services, such as invitations to participate in concerts, photo opportunities with project sponsors, etc. This shows that pre-sale crowdfunding is closer to life and should be a type of living consumption. If the legal supervision system that regulates traditional financial activities is used to supervise pre-sale crowdfunding, it will produce a series of applicable problems.Although the amount of money involved in the pre-sale crowdfunding financial consumer's participation in each transaction is small, the disputes generated are very frequent, and the scope of the disputes is also very extensive, if the pre-sale crowdfunding is not regulated the protection of consumer rights will have very serious social impacts and even hinder the development of the entire crowdfunding industry.
Compared with the domestic countries, the crowdfunding industry in the United States, Japan, and other countries developed earlier, relatively established a relatively complete supervision system, and the protection of pre-sale crowdfunded financial consumers’ rights and interests is reflected in their laws and regulations. Learn from the advanced experience of foreign countries, speed up the legislative activities for pre-sales crowdfunding and even the entire crowdfunding industry, and form a legal system and supervision system that suits the characteristics of China's market economy. It is all for the development of China's crowdfunding industry and the diversity of economic growth help.While writing protection for the interests of pre-sale crowdfunded financial consumers into the law, conducting strict project audits on pre-sale crowdfunding projects, real-time supervision of progress, and effective resolution of disputes, we must not ignore the intellectual property rights of project sponsors. Trade secrets, personal privacy protection. Improve the special protection system of the “Intellectual Property Law”, strengthen the risk education for pre-sale crowd-raising consumers, and set up a reasonable consumer withdrawal mechanism, plus the application of small lawsuits and public interest litigation in the process of dispute resolution. Next, the supervision of pre-sale crowdfunding will be more effective, and consumer protection will be more comprehensive.
