Abstract股权继承问题历来是公司法理论和司法实务中争论的焦点。我国公司法虽然对此进行了规定,但由于规定得比较笼统,对于许多具体问题的解决并没有给出明确的依据。因此,各界对这一问题的分歧依然存在。本文结合具体案例,深入研究了股权继承中存在的问题。全文分三个部分。文章的第一部分首先介绍了刘明诉甘肃D公司股权继承纠纷案的案由、审判结果及争议焦点。第二部分对该案争议的焦点进行了法律分析。首先国内学者普遍对有限责任公司已故股东的合法继承人继承已故股东的出资额(股权之财产权益)并无异议,但对于继承人是否能因继承出资而概括继承公司的股东资格以及如何继承存在争议。本文选取了具有代表性的观点进行评述,明确了股东资格可以继承。其次,股权继承问题属于公司内部事务,而公司章程是公司内部的最高自治规范,公司所有人员都必须遵守。在不与强行法相违背的前提下,如果公司章程对股权继承有特别规定,就应优先适用公司章程的规定。但如果公司章程并没有对此问题作出规定,股东死亡后,其他股东再召开股东大会明确继承人不能继承股东资格,这是违法的。最后,对于合法继承人继承股东资格的时间起算点进行了分析,新公司法明确规定股东资格可以继承,在章程也没有限制性规定的情况下,被继承人死亡的时间就应是继承人获得股权的时间起算点。
Other AbstractEquity succession has always been a focus of controversy in company law theory and judicial practice. Although China's new Company Law was provided for this focus issue, due to the more general provisions, the revolution of many specific problems has not been given a clear basis. Therefore, all the differences on this issue still exist. In this thesis, the options succession is gradually studied in-depth, adopting the research methods from theory to practice and abstract to concrete plus the combination of specific cases. This paper is divided into three parts. In the first part of this thesis, the issue of equity inheritance is put forward through the case litigated by Liuming against D company of Gansu and briefly expound the causes、trials and the results. In the second part of this thesis, the legal analysis is introduced to analyzed three focuses in the case dispute. First of all, there is no objection among domestic scholars with regard to the limited liability company's successor inherits the deceased shareholder's capital contribution (equity interest in the property), however, the inherit shareholder’s qualification how to success due to carrying on contribution, the disputes still exist. The representative views are used as theory basis to commentate on this issue, and make it very clearly that shareholder’s qualification can be inherited. Secondly, Equity succession belongs to the internal affairs arrangement of the company; it should be mainly applied to arbitrary norms. In the premise that the shareholders are not contrary to imperative law, if the Articles of association has made special arrangements for equity succession, this special arrangements should be applied preferentially. Finally, the starting point of time for the legitimate successor to inherit shareholder’s qualification is analyzed. The new Company Law has clearly stipulated that Shareholder’s qualifications can be inherited.
