| Abstract | 目前我国企业年金的发展，处于制度初创时期，相关法律亦过于原则化，还有很大的制度完善空间。作为企业年金制度基础的《企业年金试行办法》仅有24条，《企业年金基金管理试行办法》亦仅有69条。而企业年金是一个涉及社会保障、信托、保险、证券投资、银行的综合制度，涉及的法律关系亦相当广泛，其复杂的运行过程远不是区区24或69个条文所能概括。因此，对企业年金复杂运行过程的梳理、对个中法律问题的探讨对于企业年金制度日后的完善、如今的企业年金运作显得尤为必要。
企业年金制度涉及社会保障学、法学、金融学、精算学等多个学科，本文乃从法律实践的角度，运用法律解释学方法、实证分析的研究方法，不作制度选择上的争论，仅从现行法律体系中梳理、概括出企业年金运行模式及其运行过程，并就笔者所思考到的、在现行法律体系下、在我国已选定的企业年金运作模式及运行过程中所可能出现的一些法律问题进行分析探讨，并提出些许意见。 |
| Other Abstract | The development of our countries’ enterprise annuities is still at its start-up. The related laws are too principle, there’s a lot of space to consummate. The Temporary Regulation on Enterprise annuity as the base of enterprise annuities, it has only 24 items. The Temporary Regulation on Enterprise Annuity Fund has only 69 items. However, enterprises annuities is an integrated system which involves social indemnification, trust, insurance, negotiable securities investment and banking. The related laws are also quite abroad. It’s so complicated that only 24 or 69 items can hardly sum up. Therefore, to clear up the complex operation process of the enterprise annuities and probe into the related laws and regulations are crucial to the consummate and well operate the system.
Enterprise annuities involve many subjects, such as Social Security, Law, Finance and Actuarial Science. This article is trying to stand from the practice angle of the law, using the juristically hermeneutic method and demonstration analysis method, leaving away the arguing from system choosing, just clearing from the existing juristically system to generalize the operation mode and process of the enterprise annuities. The author is tend to make some discussion and analysis as well as present several ideas to some juristic questions which might happen during the operation procedure of the current law system and the selected enterprise annuities with his own consideration. |
