Abstract | 随着中国社会主义市场经济的发展,经济总量快速增长,中国现已成为世界第二大经济体,有限责任公司作为一种常见的经济活动主体也得到了长足发展。由于投资、市场竞争和公司的发展前景等因素致使有限责任公司的股权转让越来越频繁,股权转让纠纷也就随之而来。股权转让合同作为当事人之间达成的协议,涉及到了出让人、受让人以及有限责任公司等多方的权益。在股权转让合同中双方当事人可以选择一次性付清或者分期付款的方式支付转让款。法律对于处理股权转让合同纠纷并没有作出明确规定,只是确立了可以参照《中华人民共和国合同法》的有关规定,对于分期付款股权转让合同的解除能否直接参照《合同法》第167条分期付款解除权的相关规定,理论界和实务部门也存在很大争议。
本文将以汤长龙诉周士海股权转让纠纷案为例展开论述,在结构上将文章分为四个部分:第一部分介绍案情,总结法院判决结果,归纳本案的争议焦点为:(1)《合同法》中法定解除权与分期付款合同解除权的性质与关系问题(2)有限责任公司股权转让合同能否适用《合同法》第167条分期付款买卖合同解除权问题。第二部分对于分期付款解除权进行了法理分析,并对法定解除权的一般理论进行介绍,尝试厘清分期付款解除权与一般法定解除权的关系。第三部分从三个方面分析了股权转让合同的特殊性,从立法、司法、类推适用以及商事合同漏洞填补规则等方面对于分期付款股权转让合同适用《合同法》第167条的可行性进行全面分析。第四部分对我国目前的分期付款股权转让制度存在的缺陷进行分析,总结其他国家的立法经验并提出解决对策,以期完善我国分期付款股权转让的相关制度。

Other Abstract | With the development of China's socialist market economy, the economic aggregate has grown rapidly. Now China has become the second largest economy in the world, and limited liability companies, as a common economic activity subject, have also achieved great development. Due to the investment, market competition and the company's development prospects and other factors, the transfer of limited liability company's equity is more and more frequent, equity transfer disputes will follow.The equity transfer contract, as an agreement between the parties, involves the interests of the transferor, the transferee and the limited liability company. In the equity transfer contract, both parties may choose to pay the transfer money in a lump sum or in installments. The law has not made clear provisions for the settlement of disputes over the transfer of shares, but only established relevant provisions that can be referred to the Contract Law of People's Republic of China. Whether the termination of the transfer of shares can directly refer to the relevant provisions of article 167 of the Contract Law, there is also a great dispute between the theoretical and practical departments.
This paper will take Tang Changlong v. Zhou Shihai equity transfer dispute case as an example to discuss.The structure of the paper is divided into four sections:The first part introduces the case, analyzes the court's decision result, and summarizes the dispute focus of this case as follows: (1) The nature and relationship of the legal rescission right and the rescission right of installment contract in the contract law(2) Whether the equity transfer contract of a limited liability company is applicable to the termination right of the installment sale contract according to article 167 of the contract law. The second part analyzes the legal principle of the termination right of installment, and introduces the general theory of the legal termination right, trying to clarify the relationship between the termination right of installment and the general legal termination right. The third part analyzes the particularity of the equity transfer contract from three aspects, and makes a comprehensive analysis on the feasibility of applying article 167 of the contract law to the instalment equity transfer contract from the aspects of legislation, judicature, analogy application and commercial contract loophole filling rules.The fourth part analyzes the defects of the current installment payment system of equity transfer in China,summarize the legislative experience of other countries and propose solutions, in order to improve the relevant system of the installment payment of equity transfer in China.
